General Terms and Conditions of Service

Codeoscopic S.A., with Tax ID A85677432 and registered office at Ronda de Poniente, 2, building 12, 2nd floor, 28760 Tres Cantos (MADRID), registered with the Madrid Commercial Registry, Volume 26683, Folio 71, Page M-480885, 1st entry, provides the CODEOSCOPIC Website and its related services in accordance with the terms set out below.

CODEOSCOPIC S.A. (hereinafter, Codeoscopic) is an online services company for managing different aspects of a business linked to the insurance sector. These conditions set out the rights and obligations of the user, the customer, and Codeoscopic as a SaaS service provider.

Codeoscopic shall assume that any customer using its service has read and accepted the terms of use. In addition, Codeoscopic reserves the right to update and modify the Terms and Conditions of use at any time, which will always be available on its web customer portal [www.clientes.codeoscopic.com](http://www.clientes.codeoscopic.com/) or via the reference link in the digital contract.

Any new features that may be added to the Services shall be subject to the Terms of Use. Continued use of the Service after any modification shall constitute acceptance of such modifications. The most recent version of the terms of use may be consulted in the section of each service available and linked in this same document.

Failure to comply with any of the Terms of Use may result in account termination.

1. Service Conditions

To access the service, it is essential to be over eighteen years of age.

A full legal name, an email address, and all information required by Codeoscopic during the service registration process must be provided.

The user is responsible for providing truthful information. Codeoscopic reserves the right to delete any account if its accuracy is suspected or if it may breach any usage rules.

The customer is responsible for maintaining the confidentiality of their account. Codeoscopic shall not be liable for any damage or loss resulting from a user’s failure to protect their access information.

The parties agree to legally equate the customer’s handwritten signature with that made using any other type of key, code, or identifying security element. Notwithstanding the foregoing, Codeoscopic may require written confirmation from the customer when deemed necessary.

2. Types of Contracting

The contracting of a paid plan and subscription to Codeoscopic begins on the date indicated in the contract and the specific service conditions signed. The limits of each plan are specified in the pricing section of each product Avant2 Sales Manager, Tesis Broker Manager, Bcover Risk Management and Integra API REST.

Codeoscopic reserves the right to modify fees unilaterally and at any time.

3. Payments and Access

To make payments, a valid bank card or bank account number (SEPA) must be entered into the account. Codeoscopic will periodically charge the user a recurring fee depending on the type of profile and service contracted.

The Service will be billed in advance for each period and is non-refundable. There will be no refunds or credits for partial months of Service, nor will there be refunds if the user does not use the Service during the time the account is active.

The customer accepts that it will not be necessary to confirm receipt of contract acceptance when it has been concluded exclusively by electronic communication.

If the customer reaches the limit of any of the contracted elements according to their account level (users, points of sale, organizations, storage space, etc.), they will not be allowed to add further elements unless they purchase additional users, credits, or services. From that moment on, the next invoice will be charged to their card or bank account for the new amount. Likewise, if the customer wishes to contract additional services or expand those already contracted, these will be reflected in the next invoice, without the need to modify the current contract.

In the event of non-payment or returned payments, the user will be notified of the breach and will automatically lose access to the Service if payment is not regularized within 14 days following the first notification. All data will be deleted within thirty (30) days from the date of breach and deactivation.

In the event of delays or returned payments, the Provider will notify the Customer accordingly. In the event of a returned payment, the Customer must pay 6 euros by bank transfer to cover the costs incurred.

After 3 returned payments, the payment conditions will change: installment payments will be canceled and a single transfer must be made for the value of the services for the remaining current year. Otherwise, the work environment and contracted products will be deactivated.

No fee includes applicable taxes in force at any given time and territory.

4. Service and Plan Modifications

Codeoscopic reserves the right to modify or temporarily suspend the Service at any time and for any reason, including improvements, service updates, or other force majeure events. Codeoscopic will provide the maximum possible advance notice to the customer should this occur.

Codeoscopic reserves the right to change monthly fees with 15 days’ notice. Notification of fee changes will be published on the Codeoscopic website and sent electronically to the notification email address provided by the customer when opening the account.

5. Cancellation and Termination

The customer is responsible for properly canceling their account. The account may be canceled at any time through the profile menu on the customer portal www.clientes.codeoscopic.com or by request sent to with the subject: “CANCELLATION AND SERVICE TERMINATION”, attaching a copy of their ID as authorized person or representative.

If the account is deleted, not canceled or deactivated, all its content will be deleted after thirty days.

The user may cancel their account at any time but will remain responsible for all charges incurred up to that time, including the full monthly charge for the month in which the service is suspended. From that point on, no further charges will be applied unless there is a minimum commitment or penalty associated with the service.

Codeoscopic reserves the right to cancel the service in cases of breach of these terms of use.

6. Copyright and Intellectual Property

Codeoscopic owns all Intellectual Property rights to all and any components of the Service that may be protected, including but not limited to the Service name, graphic material, all software associated with the Service, and the customer interface elements contained in the Service, many individual features, and related documentation.

The customer undertakes not to copy, adapt, reproduce, distribute, reverse engineer, decompile, or conceal any aspect of the Service owned by Codeoscopic.

The customer also agrees and undertakes not to use robots, spiders, or other automated devices or manual processes to monitor or copy any content of the Service.

Codeoscopic will not claim Intellectual Property rights over the Content uploaded or provided by the user to the Service. However, by using the Service to send content, the user agrees that third parties may view and share such content, always in compliance with applicable data protection legislation.

7. General Conditions

  • The customer is fully responsible for access to and proper use of Codeoscopic services in compliance with applicable law, whether national or international, as well as principles of good faith, morality, good customs, and public order, and specifically undertakes to diligently comply with these General Terms of Use.
  • The customer agrees not to resell, duplicate, reproduce, or exploit any part of the Service without the express written consent of Codeoscopic. The customer may not use the Service to store, host, or send harmful or unsolicited email spam.
  • The customer understands that the Service may be used for the transmission of their Content and that, during this process, their Content (including invoices, payment notices, and personal messages) may be transferred unencrypted over the Internet. The customer may not use the Service to transmit any virus, worm, or any type of malicious or harmful content.
  • Neither Codeoscopic nor its partners shall be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising from or in any way related to the user’s use of the Service. The customer’s sole remedy for dissatisfaction with the Service is to stop using it and cancel their account.
  • If any of the conditions described herein is deemed invalid or unenforceable, the application of the remaining conditions shall not be affected in any way.

    The Terms of Use constitute the entire understanding between the customer and Codeoscopic regarding the Service and supersede any prior agreement reached between the customer and Codeoscopic.

    These Terms and Conditions shall be governed by and construed in accordance with the common law rules of Spanish legislation. The customer and Codeoscopic agree to submit to the exclusive jurisdiction of the courts of Madrid to resolve any legal issue related to the Terms.

    8. Security and Privacy

    Codeoscopic S.A. is duly registered with the Spanish Data Protection Agency, thus complying with current regulations on confidentiality and data security.

    The data entered by users into Codeoscopic are hosted on Amazon, OVH, and AXARNET servers within the European Union, thereby ensuring compliance with data hosting regulations and the highest levels of security and accessibility on the market.

    Codeoscopic S.A. has access to account data in order to improve the Service and provide effective support.

    All Codeoscopic employees and partners have signed confidentiality agreements in compliance with privacy regulations, including the GDPR.

    9. Business Ethics and Compliance

    The Parties mutually undertake to adopt, within the scope of their respective activities and autonomy, all appropriate measures to prevent the commission of crimes or unlawful acts in accordance with the provisions of the current Criminal Code and its subsequent amendments, as well as to comply with applicable national and international anti-bribery and anti-corruption regulations.

    CODEOSCOPIC, S.A. has its own Code of Ethics, which is an essential part of its corporate compliance culture and a faithful reflection of its ongoing commitment to self-regulation, ethics, integrity, and transparency.

    Neither Party shall commit, authorize, or permit any act that may constitute or result in a breach of any applicable anti-bribery and/or anti-corruption law or regulation, whether such breaches are their own or those of their representatives, suppliers, or employees. In particular, illegitimate payments to public officials, representatives of public authorities, or their family members, close friends, or related persons are prohibited.

    Ultimately, the Parties agree to adopt all necessary measures to avoid any act that could adversely affect or harm the reputation or prestige of either Party, in a spirit of full cooperation and good faith regarding the handling of information used under this Contract.

    Each Party undertakes to immediately notify the other of any knowledge or specific suspicion of any type of corruption or bribery that occurs in or affects the negotiation, conclusion, or performance of this Contract. Likewise, the Customer shall notify any breach of the Code of Ethics or any improper behavior by the directors, managers, employees, and collaborators of CODEOSCOPIC, S.A., and may use our Ethics Channel for this purpose: https://codeoscopic.edenuncias.com, and shall cooperate in the development of any investigation related to the reported conduct.

    10. Refund Policy

    Monthly subscriptions: if during the first 14 days of the billing period using Codeoscopic the customer wishes to cancel their account, they must contact . Codeoscopic undertakes to find a solution to their needs, and if this is not possible, a refund will be issued. If the user is not satisfied, a 50% REFUND of the system setup costs will be offered.

    Annual subscriptions: if during the first 14 days of using Codeoscopic the customer wishes to cancel their account, they must contact . Codeoscopic undertakes to find a solution to their needs, and if this is not possible, a refund will be issued. If the customer is not satisfied, a FULL REFUND of the annual fees and a 50% REFUND of the setup costs will be offered.

    Subscription renewal: subscriptions are automatically renewed until manually canceled through the customer portal. To cancel a subscription, the user must do so through the customer portal or by emailing . A FULL REFUND will be issued for cancellations made up to seven business days after the automatic renewal date.

    Exception to Codeoscopic’s refund policy: refund requests will not be accepted for customers whose service has been suspended or terminated due to breach of the terms and conditions, or when more than 90 days have passed since the contract signing date.
